I have one and it works great. You do have to update the firmware for >1TB drives but that's easy. The rebate took about 6 weeks.

I got my rebate in 8 weeks last time, but couldn't get the thing to transfer a lot of files, even using the newest firmware and a Dlink gigabit router. Had to eBay it.

Mine works fine.
Expect a real world transfer speed of about 17 MB/s over a gig network with unmanaged cheap switches running raid 10.

#5, AFAIK, there are only two differences: 323 comes with bit torrent client and a USB port. The USB port is useful if you want to monitor your UPS, or as a print server. If you don't care about those two features the 321 is the better buy dollar-for-dollar.
