Not that bad as an upgrade, has VT support, small cache isn't going to win any prizes. You're stuck in the 775 socket if this is a new build, though, which means DDR2 (at least I don't know of any 775 boards supporting DDR3?) Overall, no thanks.
I'd still opt for the AMD quad that's in this price range for new budget builds.
Edit: Yeah, there are a smattering of MBs using DDR3 after all.
