#1 is right given a choice you'd take the Asus 128-Bit card over a 64-Bit interface.
Neither have a 3-pin fan header so active fan control isn't provided, it sure would be something ATI could offer (option) on the new Redwood fans. While there is fan control in the Catalyst Control Panel you can adjust there. The few eggviews on this Asus model say it's loud; although it's the standard used for many Asus models and normally eggviews don't harp about it and some give it kudos. If you have decent air flow you could turn it down and probably not have an issue.
